The Importance of Due Diligence

A counterparty assessment should start with the transaction and the risks that matter to it. Registry access, filed information and independent sources vary by jurisdiction. Decide what must be checked, what evidence is acceptable and which unresolved issues would prevent you proceeding.

We scope checks with the client and identify the information and lawful access required. Standard verification establishes basic identity and selected credentials; deeper due diligence can examine ownership, operations, financial indicators and reputational issues. Specialist legal, accounting or investigative work is separately identified where needed.

Comprehensive Verification Services

Entity Verification

Compare the legal name, registration number, status and registered address with available registry records. A registry record confirms registration information; it does not by itself establish solvency, capacity, reliability or trading performance.

UBO Identification

Review available shareholder, director and beneficial-ownership information and request supporting records where necessary. Report gaps or conflicting accounts rather than implying every ownership chain can be fully resolved.

Litigation & Compliance

Check relevant licence evidence, accessible litigation records and other scoped compliance information. Search coverage varies; an unavailable record or no result is not proof that no issue exists.

Reputational Checks

Scope lawful reference enquiries and appropriate sanctions or adverse-media checks. Resolve identity matches carefully, date sources and distinguish allegations from established findings.

When Do You Need Verification?

Mergers & Acquisitions

Identify the corporate, financial and operational questions for the transaction, then assign any legal opinions or financial audit work to qualified professionals. Report unresolved issues before a decision.

Vendor Onboarding

Assess the evidence for a prospective supplier, distributor or logistics provider against the claimed operation and the proposed order. Site or capacity checks are separately scoped and depend on access.

Joint Ventures

Review available ownership, reputation and operational information about a proposed partner. Where political exposure is relevant, assess identified information in context; screening does not establish wrongdoing or eliminate risk.

Scope, Evidence and the Final Report

Agree the decision the report must support and the limits of the available work.

Basic verification or deeper review

An identity check may cover registration and selected credentials. A wider review can include accessible ownership and director records, relevant licences, references, financial indicators and operating evidence. Agree jurisdictions, entities, date range, access and specialist tasks before describing the work as complete.

Operational capability

Capacity cannot be inferred from a registration certificate. Request evidence appropriate to the proposed transaction: facilities, equipment, production records, order handling or references. Site visits, interviews and document access require agreement and may be constrained. Identify what was directly observed and what was only stated by management.

Confidence and limitations

Use clear evidence labels: corroborated, partly corroborated, unverified or unavailable. These describe support for an individual finding, not a blanket guarantee about the company. Explain missing records, restricted searches, identity uncertainty and the date of checks. Absence of a search result does not prove absence of risk.

Deliverables and next checks

Provide an executive summary, findings, source log, information gaps, risk flags and recommended follow-up. Distinguish facts, statements and inference, and identify conditions that should be resolved before commitment. The client makes the commercial decision with the relevant advisers; a report does not guarantee future performance.

Frequently Asked Questions

How long does a standard business verification take?

Timing depends on the jurisdiction, agreed scope, source access, responses and any site work. We agree milestones after scoping and report unavailable or outstanding information. Basic verification and deeper due diligence have different requirements, so there is no universal guaranteed turnaround.

What if the company refuses to provide their registration documents?

Some official records may be independently accessible, but access and detail vary. We report what can be obtained lawfully, request missing evidence and explain how non-cooperation limits the assessment; we do not promise unrestricted access to government files.

Are your investigations legal and ethical?

Checks must use lawful sources, appropriate permissions and proportionate handling of personal information. Any specialist or restricted-access work is separately assessed. The report identifies sources and limitations rather than relying on undisclosed or unauthorized data.
